OFFICIAL RULES

These official rules apply to List'd T-Shirt Design Contest ("Contest") only and do not apply to any other contest currently offered on getlistd.com. If these rules are inconsistent with the Design Submission Legal Terms and Conditions that appear on the getlistd.com/contest website, these rules will govern. Submission of an entry to the Contest indicates your acceptance of these official rules.
SPONSOR: The Sponsor of this Contest is Saris Technologies, Inc., 255 South Orange Avenue, Suite 600, Orlando, Florida 32801.
HOW TO ENTER: This Contest begins at 12:01 AM Eastern Standard Time ("EST") on November 1st, 2006 and ends at 11:59 PM EST on November 24th, 2006 ("Entry Period"). To enter online, log onto http://getlistd.com/contest (the "Website") during the Entry Period, and follow the on-screen instructions to enter the Contest and upload your original t-shirt design. Your design should reflect one of the themes of this Contest, as is are indicated at http://getlistd.com/contest/submission.html. You may submit an unlimited number of designs, each as a separate entry. Each subsequent entry must not resemble a previous entry. You may not submit a design that has already been submitted to getlistd.com/contest. Entries that are identical t entries previously submitted will be eliminated from the Contest.
JUDGING: All entries will be displayed at http://getlistd.com/contest beginning 12:01 AM Eastern Standard Time ("EST") on November 1st and ending at 11:59 PM CST on November 30th, 2006 ("Judging Period"). To vote online, log onto the Website during the Judging Period and follow the on-screen instructions to vote. Each visitor is allowed one vote per entry. At the end of the Judging Period the 10 designs that received the most votes will be judged by a panel of judges consisting of List'd staff members, based on the following equally weighted judging criteria: Originality; Creativity; and Appropriateness to Contest theme. Winner will be notified by email on or before 12/14/06.
Submitted designs must be the participant's own original work and may not have been previously published. The Design may not contain the trademarks, logos, copyrighted works or intellectual property of any third parties, or any material, which Sponsor in its sole discretion deems to be profane or offensive. Sponsor retains exclusive rights to all submitted designs, for reproducing, printing and selling such designs on clothing. Sponsor also retains rights to the design itself for use on the Sponsor website, and any Sponsor promotional material. The participant may display or archive the design in a portfolio or personal collection, but may not sell or reproduce the design for commercial. In addition, during this period, the participant cannot submit the design to another company to be potentially produced. The selected design may be reworked by professional designers to prepare it for use. This usually results in small color changes or size changes. Participants who, in the opinion of Sponsor, do not comply with these guidelines can at any time be excluded from the running without notification of reason.
ELIGIBILITY: The Contest is open only to legal residents of the 50 United States and District of Columbia ("U.S.") who are 18 years of age or older as of date of entry. Employees of Saris Technologies its subsidiaries, or affiliated partner client companies ("Promotion Entities") and members of their immediate family and/or those living in the same household of each are not eligible. Contest is void in Puerto Rico, and other US Commonwealths, Territories and jurisdictions (including overseas military installations) and where prohibited.
PRIZES AND APPROXIMATE RETAIL VALUE ("ARV"): (1) Grand Prize: The Grand Prize consists of the following: an iTunes Music Card (ARV:$50); The Total ARV of the complete prize package is $50.00 All other expenses not specified herein are the responsibility of the winner. ALL FEDERAL, STATE AND/OR LOCAL TAXES AND THE REPORTING CONSEQUENCES THEREOF, ARE THE SOLE RESPONSIBILITY OF THE WINNER.
CONDITIONS OF PARTICIPATION: Winner may forfeit prize if Sponsor is unable to contact him or her within 7 days of first attempted notification. In such event, the prize may be awarded to an alternate winner. Sponsor reserves the right to substitute any element of the prize for an item of equal or greater value. All federal, state and local laws and regulations apply. Participants agree to be bound by the terms of these official rules and by the decisions of Sponsor, which are final and binding on all matters pertaining to this Contest. Potential Grand Prize winner may be required to sign and return an Affidavit of Eligibility and a Liability/Publicity Release within 20 days following the date of first attempted notification certifying, among other things, the following: (a) entry has not won a previous prize/award or been previously published/reproduced and (b) the drawing is original and owned by the Participants. Failure to comply with these deadlines may result in forfeiture of the prize. All Participants acknowledge that if they are chosen as a winner, certain of their personally identifying information may be disclosed to third parties at least as required by law, including, without limitation, on a winners list. Acceptance of the prize constitutes permission for Sponsor and its agencies to use winner's name and/or likeness for advertising and promotional purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity without additional compensation, unless prohibited by law. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prize.
INTERNET: Sponsor assumes no responsibility for any damage to an Participants's computer system which is occasioned by accessing the Website or participating in the Contest. Sponsor is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor or presenter on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof. If for any reason the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest. In such event, Sponsor reserves the right to select winners from all eligible entries received as of the termination date. No mechanically reproduced, illegible, incomplete, forged, software generated or other automated multiple entries will be accepted. In the event of a dispute as to the identity of the Participants, the entry will be deemed submitted by the authorized account holder of the e-mail account from which it was sent, provided such account holder must still meet the eligibility requirements for the Contest. The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved to Sponsor's satisfaction, the profile entry will be deemed ineligible. Sponsor furthers reserve the right to disqualify any individual who tampers with the entry process. Caution: Any attempt by a contestant to deliberately damage any Web site or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such Participants to the fullest extent of the law.
GENERAL RELEASE: PARTICIPANTS AGREE THAT THE PROMOTION ENTITIES (A) SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSSES, DAMAGES OR INJURIES OF ANY KIND RESULTING FROM PARTICIPATION IN THE CONTEST OR ANY CONTEST-RELATED ACTIVITY, OR FROM PARTICIPANTS' ACCEPTANCE, RECEIPT, POSSESSION AND/OR USE OR MISUSE OF ANY PRIZE, AND (B) HAVE NOT MADE ANY WARRANTY, REPRESENTATION OR GUARANTEE EXPRESS OR IMPLIED, IN FACT OR IN LAW, WITH RESPECT TO ANY PRIZE, INCLUDING, WITHOUT LIMITATION, TO SUCH PRIZE'S QUALITY OR FITNESS FOR A PARTICULAR PURPOSE.
NO MODIFICATION/INVALIDITY: In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
DISPUTES: Participants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action; (b) The state and federal courts located in Orange County, Florida, USA will have exclusive jurisdiction over any such dispute, claim or cause of action arising out of, or connected with, the Contest or any prize awarded; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys' fees; and (d) under no circumstances will registrant be permitted to obtain awards for, and registrant hereby waives all rights to, claim punitive, incidental and consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Participants's rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of State of Florida, without giving effect to any choice of law or conflict of law rules (whether of the State of Florida or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of Florida. The state and federal courts of Orange County, Florida shall have exclusive jurisdiction over any claims arising out of or relating to the Contest.
